Corporate governance

Eniro applies to the Swedish Code of Corporate Governance, as further outlined in the yearly Corporate Governance Report, attached to the Annual Report. The Corporate Governance Reports can also be found on this page.

The Swedish Code of Corporate Governance

As of July 1, 2005, the listing requirements of the OMX Stockholm Stock Exchange comprises requirements included in the Swedish Code of Corporate Governance. The Code implies among other things that the companies affected include a special Corporate Governance report in their annual reports.

The Code of Corporate Governance is based on the “comply or explain” principle, that is, companies covered by the Code can diverge from individual rules but shall then explain the reasons to each deviation. Thus, applying the Code does not mean that every rule must always be observed and departing from one or more individual rules does not constitute a breach of the Code. The reason for the discrepancies is what is important.

Corporate Governance in Eniro

Eniro applies the Swedish Code of Corporate Governance, which among other things implies an obligation to attach a certain report on corporate governance to the Annual Report.

A Corporate Governance report pertaining to the financial year 2009 was added to the Annual Report for 2009. This report was not reviewed by the company’s auditors.
